Terms of Service

1. Purpose
These General Terms and Conditions (GTC) govern the rights and obligations between ElaraTeq Sagl and its clients (hereinafter "Client") regarding the provision of web design services, development, consulting, digital content management, and blockchain-related services.
2. Definitions
Client: The natural or legal person who purchases services from ElaraTeq Sagl.
Services: The set of performances provided by ElaraTeq Sagl, as specified in the service proposals or contracts.
3. Services Provided
ElaraTeq Sagl offers a wide range of services, including but not limited to graphic design, website development, branding, digital marketing, blockchain consulting, and social media management. Each service will be described in detail in the service proposals or specific contracts entered into with clients.
4. Acceptance of Terms
By using our services, the Client accepts these General Terms and Conditions, which govern access to and use of the website and services offered by ElaraTeq Sagl.
5. Delivery Schedule
ElaraTeq Sagl will make every effort to meet the delivery timeline indicated in the offer. However, delays may occur due to circumstances beyond ElaraTeq Sagl's reasonable control. In such cases, the Client will be promptly informed and provided with a new timeline estimate.
6. Payment Terms
Initial Deposit: [30]% of the total amount is due upon acceptance of the offer, unless otherwise agreed.
Milestone Payments: Payments will be made corresponding to key project milestones, as described in the offer.
Final Payment: The remaining balance is due upon completion of services.
Payments must be made within 30 days of the invoice date. Late payments will incur interest charges at a rate of 5% per annum.
7. Intellectual Property
Any intellectual property created by ElaraTeq Sagl during the provision of services shall remain the property of ElaraTeq Sagl until full payment is received. Subsequently, intellectual property rights will be transferred to the Client, unless otherwise stipulated contractually, provided that asset management remains in ElaraTeq Sagl's hands.
8. Confidentiality
ElaraTeq Sagl and the Client undertake to maintain the confidentiality of all information exchanged during the realization of the services. This confidentiality obligation shall persist even after the conclusion of the services.
9. Cancellations and Termination
The Client may terminate the contract with 30 days' written notice. In case of early termination, the Client shall be liable to pay for services already provided up to the termination date.
Minimum Package Duration: ElaraTeq packages have a minimum duration of 1 year. At the end of this period, the contract will automatically renew for another year unless terminated with at least 1 month's notice prior to the expiration date. Termination must be communicated in writing.
10. Limitation of Liability
ElaraTeq Sagl shall not be liable for delays or non-performance caused by circumstances beyond its reasonable control. ElaraTeq Sagl's liability for direct damages is limited to the amount paid by the Client for the services in question. No liability shall be accepted for indirect, incidental, or consequential damages.
11. Force Majeure
ElaraTeq Sagl shall not be liable for any delays or failure to perform its contractual obligations due to events beyond its reasonable control, such as natural disasters, wars, terrorist acts, strikes, pandemics, or transportation disruptions.
12. Use of Services
The Client undertakes to use the services provided by ElaraTeq Sagl in accordance with applicable laws. ElaraTeq Sagl reserves the right to suspend or terminate services if they are used for illegal activities or contrary to these terms.
13. Client Obligations
The Client is responsible for providing accurate and complete information necessary for service execution. Any delays caused by lack of information may affect delivery timelines.
14. Support and Maintenance
ElaraTeq shall provide support and maintenance according to the terms specified in individual contracts. Availability hours and technical support contact methods will be communicated to the Client.
15. Complaint Procedures
The Client may submit complaints by contacting customer service via email or telephone. ElaraTeq Sagl undertakes to respond to complaints within a reasonable time and resolve any issues promptly.
16. Amendments to Terms
ElaraTeq Sagl reserves the right to modify these General Terms and Conditions at any time. Amendments shall be effective from the time of publication on ElaraTeq's official website or after being directly communicated to Clients.
17. Governing Law and Jurisdiction
These General Terms and Conditions are governed by Swiss law. Any disputes shall be resolved in the competent Swiss courts.
